1. Agreement to Terms
These Terms & Conditions (“Terms”) govern your access to and use of all products, software, websites, and services provided by CallNest, LLC (“CallNest,” “we,” “us,” or “our”). By using or accessing the CallNest website, client portal, or any related platform (collectively, the “Services”), you agree to be bound by these Terms and our Privacy Policy.
If you do not agree, you may not access or use the Services. These Terms constitute a legally binding agreement between you (“Client,” “User,” or “you”) and CallNest, LLC, a Delaware limited liability company operating exclusively within the United States.
CallNest serves only U.S.-based companies. All business operations, data processing, and service delivery are managed under CallNest, LLC in the United States.
2. Services Overview
CallNest provides software and human-assisted services to help businesses:
- Follow up with leads and inbound inquiries,
- Book appointments and manage communication workflows, and
- Integrate with third-party CRM platforms such as GoHighLevel (“GHL”).
Use of our Services constitutes acceptance of any applicable third-party terms and conditions. We reserve the right to modify, enhance, or discontinue any feature or function of our Services at our discretion, with or without prior notice.
3. Account Registration and Access
- Access to CallNest systems is limited to authorized users only.
- You must provide complete, current, and accurate information when registering.
- You are responsible for maintaining the confidentiality of your login credentials and any activity under your account.
- CallNest reserves the right to suspend or terminate accounts in cases of unauthorized access, suspected fraud, or policy violations.
4. Acceptable Use
You agree to use our Services in compliance with all applicable U.S. federal and state laws, including but not limited to:
- The Telephone Consumer Protection Act (TCPA),
- The CAN-SPAM Act, and
- Any applicable Do Not Call (DNC) or privacy regulations
You may not:
- Use the Services to send unlawful, deceptive, harassing, or spam communications.
- Interfere with or disrupt the integrity or performance of our systems.
- Copy, resell, or commercially exploit platform access without written authorization.
- Use automated systems to extract data (“scraping” or “harvesting”).
Violation of these provisions may result in immediate termination and potential legal action.
5. Payment and Billing
- All paid plans, retainers, or subscription fees are billed according to your signed Service Agreement or invoice.
- Payments must be made using approved payment methods (e.g., bank transfer, Stripe, or Wise).
- Invoices are due upon receipt unless otherwise stated in your Service Agreement.
- Late, declined, or unpaid invoices may result in suspension or termination of Services until payment is received.
- CallNest reserves the right to charge reasonable late fees or interest where permitted by law.
6. Intellectual Property
All intellectual property, including software, platform content, graphics, logos, and documentation, remains the exclusive property of CallNest, LLC or its licensors.
Clients retain ownership of their own customer data but grant CallNest a limited, non-exclusive license to process that data solely for the purpose of delivering contracted Services.
Unauthorized reproduction, modification, reverse engineering, or redistribution of CallNest materials is strictly prohibited.
7. Confidentiality and Data Protection
Both parties agree to maintain the confidentiality of proprietary and client information shared during the engagement. CallNest safeguards client data in accordance with U.S. privacy and security standards, including the Federal Trade Commission (FTC) guidelines and applicable data protection laws.

8. Service Availability
CallNest aims to maintain reliable uptime and service continuity. However, uninterrupted operation cannot be guaranteed. Downtime or delays may occur due to:
- Scheduled maintenance
- Third-party outages (e.g., GHL or payment processors)
- Events beyond our reasonable control, including force majeure events
CallNest shall not be held liable for temporary interruptions, delays, or data losses resulting from such events.
9. Limitation of Liability
To the fullest extent permitted by law:
- CallNest shall not be liable for indirect, incidental, or consequential damages, including lost profits, revenue, or data.
- Total cumulative liability for all claims shall not exceed the total fees paid by the Client to CallNest in the three (3) months preceding the event giving rise to the claim.
Certain jurisdictions may not allow such exclusions, in which case liability is limited to the maximum extent permitted by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless CallNest, LLC, its affiliates, officers, and employees from any claims, damages, or expenses (including reasonable attorney’s fees) arising from:
- Your use or misuse of the Services,
- Breach of these Terms or any applicable law, or
- Violation of the rights of a third party.
11. Termination
Either party may terminate Services at any time by providing written notice.
Upon termination:
- All outstanding invoices remain immediately due and payable.
- Access to CallNest systems will be revoked.
- CallNest may retain anonymized or aggregated data for compliance, recordkeeping, or analytics.
Termination does not affect any accrued rights or obligations that existed prior to the termination date.
12. Governing Law and Dispute Resolution
These Terms are governed by and construed under the laws of the State of Delaware, without regard to conflict of law principles.
Any disputes shall be resolved exclusively through binding arbitration in Delaware, in accordance with the rules of the American Arbitration Association (AAA).
Each party agrees to personal jurisdiction in Delaware and waives the right to bring claims in any other forum, except where otherwise required by applicable law.
13. Updates to These Terms
CallNest may revise or update these Terms at any time.
All updates will be posted on our website with a new “Last Updated” date.
Your continued use of the Services after such changes constitutes acceptance of the updated Terms.
